Beacon Hill's Client, a top 50 law firm nationwide, is seeking an experienced corporate paralegal who will support multiple Corporate Partners focusing in Debt Finance and the overall practice on a variety of deals.

Requirements:

• Reviews/Drafts UCC-1 financing statements and UCC-3 financing statements
• Organizes charters, bylaws/operating agreements and good standing certificates on DMS.
• Assists with distribution of resolutions, secretary's certificates and officer's/closing certificates to lender's counsel for review.
• Prepares stock certificate/unit certificate to be pledged and update ledger.
• Reviews and organizes executed signature pages.
• Reviews closing checklist and conditions precedent section of loan agreement to determine closing deliverables.

Qualifications:

• At least 5 years of paralegal experience preferably in a law firm handling complex matters for large corporate clients.
• Experience in Debt Finance and one or more areas including M&A, private equity, capital markets, asset-backed securitization, investment funds, investment management and/or venture capital.
• Must be able to work independently as well as with a team, have an acute attention to detail, and is able to multi-task and prioritize while working in a high pressure, deadline-driven environment. Flexibility for travel, and work overtime is required.
