Position Pay Range:

This range represents the low and high end of the salary range for this position. Actual salaries will vary based on factors including but not limited to geographical location and experience.

$75,887.00-$121,419.00

Summary:

The Paralegal Sr supports a wide variety of corporate, governance, compliance, and legal operations matters, with a primary focus on mergers & acquisitions (M&A) activity. This role will report to CSG's Chief Counsel- M&A.

Position Details:

Essential Job Functions:

  • Provide ongoing project-management and support on M&A transactions, including coordination of due diligence, data room and disclosure-schedule review, and deal closings.
  • Assist with preparation and organization of CSG Board of Directors and board committee minutes, materials, and minute books.
  • Draft, review, and file organizational and entity-compliance documents, including management of CSG subsidiary entities.
  • Create procedures and practices within the legal, corporate development, and integration management office teams to promote efficient workflows.
  • Coordinate searches and review of lien and litigation filing and entity good standings. Work on projects and perform legal research on various topics as assigned.
  • Regular and reliable attendance is required.
  • This job requires domestic and/or international travel up to 15%.
  • Position is accountable for professional working behavior to include building and maintaining constructive working relationships, implementing proactive and concise communication, acting as a resource to colleagues, and engaging in collaborative thinking and problem solving while demonstrating CSG's core competencies and values.
  • Some flexibility in your schedule - CSG values work-life balance, however the right candidate understands (and is energized by) the demands of M&A transactions

Typical Interactions/Relationships:

  • External - External counsel and advisors, CSG Board of Directors and counter-parties to acquisition and divestiture transactions.
  • Internal - General Counsel's Office, Legal, Corporate Development and Strategy and other CSG departments as required.

Minimum Requirements:

  • 5 + years of working experience as a Corporate / M&A Paralegal
  • Paralegal certificate preferred
  • Law firm legal experience required, in-house experience a plus

Knowledge, Skills and Abilities:

  • Positive outlook and a can-do attitude
  • Strong attention to detail and excellent oral and written communication skills
  • Team-focused attitude and approach
  • Ability to project-manage complex legal projects requiring input from outside counsel and various groups across the organization
  • Ability to exercise independent judgment and to effectively prioritize work

Education:

Bachelor's Degree in a related field or equivalent combination of education and experience
